Sika has agreed to acquire LCS Optiroc Pte Ltd. in Singapore and LCS Optiroc SDN. BHD in Malaysia, a leading manufacturer of cementitious powder products. The business generated annual sales of CHF 24 million in the last financial year. With the acquisitions of AkzoNobel’s Building Adhesives and Everbuild Building Products this year as well as Technokolla in 2011, this take-over strengthens Sika’s offerings in powder products and in the interior finishing sector.

Nine-month results:
▪ Accelerated sales growth of 6.7% in the first nine months
▪ Sales 16.4% higher in emerging markets
▪ EBIT increase of 13.3%
▪ Above-average 15.3% rise in net profit

In the third quarter, Sika reported local currency growth of 10.6%. Net sales for the first nine months of the year came to CHF 3,807.7 million, corresponding to a year-on-year increase of 6.7% in local currencies and 4.7% in Swiss francs. Sika posted an above-average increase in net profit.

Sika AG successfully placed today a 6-year bond issue with an amount of CHF 200 million and a coupon of 1.125% per annum and a 10-year bond issue of CHF 200 million and a coupon of 1.875% per annum in the Swiss capital market.

Sika has completed the acquisition of AkzoNobel’s Building Adhesives business on October 1, 2013. The deal was announced on August 8, 2013. With annual sales of CHF 228 million, AkzoNobel Building Adhesives is a top-three player in its core European markets and employs 550 people. With this acquisition, Sika will increase its product offering for interior finishing in its Flooring, Sealing & Bonding and Refurbishment markets.

Sika has appointed Thomas Hasler as its new Chief Technology Officer and a Member of Group Management effective January 1, 2014. He succeeds Urs Mäder, who has decided to step down from the role.

Sika has made a binding offer of CHF 320 million to acquire the Building Adhesives Business of the Dutch company AkzoNobel. With annual sales of CHF 228 million, AkzoNobel Building Adhesives is a top-three player in its core European markets and employs 550 people. With this acquisition, Sika will increase its product offering for interior finishing in the Flooring, Sealing & Bonding and Refurbishment markets. The transaction is expected to be completed in the fourth quarter of 2013.

Following a slow first quarter in which the construction sector was hit by bad weather conditions, in the second quarter Sika made good the delays encountered in building projects. Sika posted growth in all regions and achieved an 8.3% increase in second-quarter sales. Net sales for the first half of 2013 came to CHF 2,402.5 million, corresponding to an increase of 4.4% in local currencies and 4.0% in CHF respectively.

Sika is acquiring Australian company Radmix Resources Pty Ltd and its manufacturing partner ASF (Australian Synthetic Fibres) Pty Ltd. Radmix is the leading supplier of structural fibres for shotcrete in Australia’s mining industry. Last year Radmix and ASF generated sales of CHF 8 million.

Sika is acquiring JMTexsa, S.A. de C.V. of Mexico and Texsa India Ltd, two leading manufacturers of waterproofing membranes. Sika has signed an agreement to this effect with the French industrial group Soprema. The acquisitions strengthen Sika’s growth strategy and accelerate the expansion in emerging markets. The companies being acquired generated annual sales of CHF 23 million in 2012 and have 100 employees.

Sika has acquired Everbuild Building Products Ltd, UK’s largest independent manufacturer of sealants, adhesives and construction chemicals. Everbuild is located in Leeds with annual sales revenue of over CHF 90 million and a workforce of 270 employees.

Despite a long winter, Sika managed to maintain sales in local currencies at the previous year’s level (-0.2%) in the first quarter of 2013. As exchange rate shifts had a negative impact of -0.9%, sales in Swiss francs reached CHF 1 043 million.

All the Board of Directors' proposals were accepted by shareholders at the Annual General Meeting of Sika AG on April 16, 2013.

In 2012, Sika lifted sales by 5.8% to CHF 4.82 billion. This was largely attributable to Sika's strong global presence, which enabled the company to offset fall-offs in demand in European markets. 10.7% growth was achieved in the emerging markets.

Sika has agreed to acquire Inatec SRL in Paraguay. Inatec, a privately owned company with a strong position in the construction chemicals market, is located in Asunción with annual sales of CHF 7 million.

Thanks to its strong global position, Sika lifted net sales by 6.0% in the first nine months of the year despite the challenging environment in Europe. The growth in sales and the substantial widening of the gross result translated into an above-average increase in profitability.

Sika is taking over the fire protection coatings and systems business of Mannheim based Rütgers Organics GmbH, a move that will reinforce Sika’s position in the fire protection sector. The acquired business generates annual sales of CHF 6 million.

Effective January 1, 2013, Sika is introducing a leaner and more efficient Group management structure. Group Management will be streamlined from 14 members to nine. The geographical concentration on four regions with extensive responsibility will enable integrated management from production through to the customer. The traditional flat management structures will remain in place.

In the first half of 2012, Sika increased sales by 6.4% in local currencies. In Swiss franc terms, after adjusting for exchange rate changes of -3.0%, sales increased by 3.4% year-on-year to CHF 2,307.0 million. Sika also further improved its gross result, which now stands at 53.1%.
