Sika Acquires a Market Leader in Cementitious Flooring

Sika AG announces that its Czech subsidiary, Sika CZ s.r.o., has acquired the business of the Czech Panbex Group. The Panbex business mainly consists of cementitious flooring systems, with leading market positions in the Czech Republic, Poland, Romania, Serbia and Slovakia. The Panbex Group turnover in 2009 amounted to approximately CZK 170 million (almost CHF 10 million).

Sika AG announces that its U.S. subsidiary, Sika Corporation, has acquired the automotive glass replacement business of ADCO Products, Inc. (“ADCO”). The transaction closed on March 8, 2010. The business acquired reaches an annual turnover of approximately US$ 6-7 million and will be integrated into Sika’s Aftermarket Business Unit in the United States and its Industry Division in Canada and Latin America.

Sika posted a 6.6% increase in sales in the first half of 2011, achieving net sales of CHF 2 231.5 million. In local currencies, Sika lifted sales by 19.5%. The currency effect for the first half-year stood at -12.9%. Margins were squeezed by the rising raw material prices.

Market Share Gained
In the second half of the year under review income was higher than in the first half-year due primarily to improved sales and lower costs, especially for raw materials. Overall in the reporting year 2009 Sika achieved net sales of CHF 4.155 billion. Operating profit (EBIT) before restructuring amounted to CHF 400.6 million (9.6% of net sales, in 2008 9.1%) while net profit before restructuring totaled CHF 269.4 million (6.5% of net sales, in 2008 5.8%).

In the first nine months of the business year Sika expanded its market share and reduced operating costs. In addition the company benefited from lower raw material prices in comparison with those of the previous year period. The decline in sales in local currencies slowed to 5.2% (half-year -6.3%). Sales decreased by 11.6% in Swiss francs to CHF 3 132.6 million. The operating profit of CHF 321.8 million before restructuring costs lay 18% (half-year -40.8%) below that of the previous year.

Following a slow first quarter in which the construction sector was hit by bad weather conditions, in the second quarter Sika made good the delays encountered in building projects. Sika posted growth in all regions and achieved an 8.3% increase in second-quarter sales. Net sales for the first half of 2013 came to CHF 2,402.5 million, corresponding to an increase of 4.4% in local currencies and 4.0% in CHF respectively.

With annual sales of CHF 228 million, AkzoNobel Building Adhesives is a top-three player in its core European markets and employs 550 people. With this acquisition, Sika will increase its product offering for interior finishing in its Flooring, Sealing & Bonding and Refurbishment markets.
